Words with capitalized initial letters have meanings defined under the following conditions. These definitions apply whether they appear in singular or plural.

For the purposes of these Terms and Conditions:

• "Affiliate" means an entity that controls, is controlled by, or is under common control with a party.
• "Account" means a unique account created for you to access our Service or parts of our Service.
• "Company" refers to VertexEase (Pty) Ltd.
• "Country" refers to South Africa.
• "Device" means any device that can access the Service such as a computer, cellphone, or digital tablet.
• "Service" refers to VertexEase websites, applications, and related services, including (where applicable) RentalEase, LeaseSign, and VertexListings.
• "Terms" means these Terms and Conditions of use.
• "Data" means any data input or imported by you (or with your authority) into the Service.
• "Subscriber" means the person who registers to use the Service, and includes an entity on whose behalf that person registers.
• "Subscription Fee" means the monthly or annual subscription fee (excluding taxes and duties) payable by you according to published pricing (which may change from time to time).
• "You" means the individual or entity accessing or using the Service.

You agree to use the Service only for purposes permitted by these Terms and any applicable law. You are solely responsible for all activities that occur in relation to your use of the Service.

The Service and its original content (excluding content provided by you or other users), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of South Africa and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

When you create an Account, you must provide information that is accurate, complete, and current at all times. Failure to do so may result in immediate termination of your Account.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. Notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages (including loss of profits, loss of data, or business interruption) arising out of or connected with the use of the Service.

If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

The laws of South Africa, excluding its conflicts of law rules, shall govern these Terms and your use of the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to new terms taking effect where reasonably possible.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.

VertexEase, RentalEase, LeaseSign, and VertexListings are trademarks of the Company. Other trademarks, service marks, and logos used and displayed on the Service may be trademarks of their respective owners. Nothing on the Service should be construed as granting any license or right to use the Company's trademarks without prior written permission.
